Foley & Lardner LLP represented HPI Holdings LLC, an Oklahoma City-based operator of hospitals, outpatient centers and clinics, in the sale of a controlling interest in HPI to a joint venture owned by Integris and United Surgical Partners International. The deal closed on November 1, 2018.
As described by the parties to the venture, the deal allows for the combination of HPI’s comprehensive service offerings and convenience of care, the INTEGRIS system’s continuum of care in Oklahoma and the management infrastructure and capabilities of USPI. It also establishes an affiliation of more than 1,300 physicians, representing a wide variety of specialties with practices across metro Oklahoma City.
Foley partner Roger Strode served as lead counsel for HPI and was supported by partners Steve Gerenraich, Jana Anderson Kolarik, John Palmer, Alan Rutenberg, Michael Woolever; of counsel Don Romano; Senior Counsel Ben Dryden; and Associate Melissa Conroy.
