This comprehensive guide for audit committees provides an authoritative reference addressing the challenges faced by today’s audit committees, their members, in-house counsel, and stakeholders.
More than 20 Foley attorneys across the firm with deep expertise in audit committee governance and practice – including SEC reporting obligations and corporate governance matters, financial reporting and risk management, financial fraud investigations, and outside audit firm obligations – contributed to the Deskbook. This cross-department collaboration among the firm’s Capital Markets and Public Company Advisory Group, the Securities Enforcement & Litigation Practice Group, and the Government Enforcement, Defense and Investigations Practice Group distills the firm’s experience and knowledge representing public and private company clients and their audit committees, boards, in-house counsel, and independent auditors into an all-encompassing legal reference.
The Deskbook includes checklists and key sample documents, including committee charters, policies governing confidentiality, insider trading and related-person transaction policies, and a director code of conduct. The Deskbook also includes various sample questionnaires, guidelines, resolutions, and letters.
