Hanna Elmasry advises clients across a range of commercial real estate, hospitality, land use, and environmental matters. She represents publicly traded national home builders in the acquisition, development, and entitlement of raw land and plotted lots throughout Florida and Georgia. Hanna guides clients through the full life cycle of sophisticated transactions, including drafting and negotiating complex purchase and sale agreements, survey and title review, negotiating easements and restrictive covenants, and handling closing and post-closing related matters.
Hanna has extensive experience handling real estate sales and purchases, representing buyers and sellers in transactions involving commercial, industrial and residential properties. She drafts and negotiates purchase and sale agreements, conducts title and survey reviews, prepares closing documents, and coordinates due diligence to ensure smooth transactions. She works closely with clients to identify potential risks, address financing and regulatory considerations, and facilitate successful closings.
As a member of the firm’s Hospitality & Leisure industry team, Hanna represents clients in hotel, condominium, and golf course projects across the country and internationally. She is instrumental in navigating complex transactional and operational business challenges unique to the industry. She assists all aspects of the project, including complex deal structuring, real estate development, drafting membership and management agreements, environmental regulation and compliance, and more.
Hanna also represents developers, professional sports teams, and other nonprofit organizations on land use and entitlement issues related to real property acquisition and redevelopment. She is proficient in navigating the nuanced city and county regulatory frameworks, securing approvals, and ensuring compliance with local, state, and federal land use laws. Her work spans drafting and filing rezoning applications, variances, permitting, due diligence, and advocacy before planning commissions, city councils, and regulatory agencies. Hanna currently services as a board member on the City of Orlando’s Appearance Review Board.
Her practice also includes leasing work, assisting national restaurant chains and affordable housing developers by reviewing LOIs, preparing lease agreements, ensuring compliance with Florida law, and managing due diligence prior to lease commencement.
Hanna also advises professional sports teams and related entities on real estate and development matters related to stadium and arena projects, including site acquisition, land use and entitlement issues, coordination with public entities, and the negotiation of ancillary operational agreements, including food and beverage concession agreements.
In addition, Hanna represents clients in environmental regulatory matters, including groundwater and soil contamination cleanups. Notably, Hanna has represented an MLS soccer franchise, a large apartment development company, Florida gas and electric companies, and a publicly traded food distribution company in related matters. She prepares application materials, researches environmental regulations, and engages with the Florida Department of Protection (FDEP) to facilitate compliance.
