Larry Schoenbrun served as an experienced mergers and acquisitions lawyer who worked with clients navigating the often‑painful aftermath of mergers and acquisitions that did not proceed as planned. His practice spanned a wide range of post‑transaction issues, including fraud and financial distress, environmental and employment matters, and domestic and international tax challenges. Larry represented both buyers and sellers across the United States, helping them maximize investment value while minimizing lingering risks and concerns.
He also represented business owners and executives in corporate divorces and separations. A sought‑after advisor, Larry was known for his deep understanding of the business, technical, legal, and economic nuances of these matters, as well as the remedies available in complex and challenging situations.
For years, Larry worked with private equity companies, their portfolio companies, and venture capital investors. He was frequently retained to represent special committees, particularly in conflict situations between principal and minority shareholders, including matters involving alleged wrongdoing related to corporate governance or affiliate transactions.
Larry was considered an invaluable advisor to independent directors considering placement on a public company board. He analyzed and advised on directors’ fiduciary duties and indemnification issues, as well as director and officer insurance coverage, and collaborated with Foley partners to evaluate insurance coverage in order to provide comprehensive protection and guidance.
Larry’s greatest source of new clients was referrals from existing ones. He earned the confidence of executives who benefited from his reasonable, level‑headed, and pragmatic approach to problem‑solving. Recognizing that parties involved in business divorces were often emotional and not always rational, Larry served as a trusted arbiter in the room. He was adept at helping warring factions reach calm resolutions and adopt approaches that were practical and achievable.
