In the article, Lehot analyzes recent high-profile corporate departures from Delaware and what it could mean for the state’s long-standing dominance in corporate law.
Lehot notes that while the actual number of departures remains small and Delaware continues to attract the majority of newly public companies, several other states including Texas, Nevada, and Florida are establishing themselves as friendly alternatives.
“For decades, Delaware’s success was its ability to balance shareholder rights and managerial authority,” Lehot concludes. “This could be the beginning of a seismic change in power.”
