Jeremy Spankowski focuses his practice on a broad range of corporate and finance transactions, with a particular emphasis on capital markets.
Most recently, Jeremy served as an associate attorney for capital markets at a global law firm, where he counseled public and private issuers in equity and high-yield debt offerings. His experience includes representing issuers and underwriters in registered and Rule 144A offerings of equity and debt securities, as well as advising clients on initial public offerings, direct listings, and private placements. Jeremy also counsels clients on ongoing SEC and stock exchange compliance, corporate governance, and other securities law matters.
In recognition of his work, Jeremy was recognized in the 2025 edition of The Legal 500 US as a “Key Lawyer” for Finance: Capital Markets: Equity Offerings.
Representative Experience
- Represented Chart Industries Inc., a cryogenic equipment and energy solutions manufacturer, in its approximately $2 billion Rule 144A offering of secured and unsecured notes, $700 million offering of common stock, and $350 million offering of depositary shares representing interests in convertible preferred stock in connection with its approximately $4.4 billion acquisition of Howden.*
- Represented KeHE Distributors, LLC, a natural and specialty foods distribution company, in a $750.0 Million Senior Secured Notes Offering.*
- Represented Motorola Solutions, Inc., a communications technology company, in its $1.3 billion registered offering of Senior Notes.*
