Mashhura Murodillaeva advises public and private companies on corporate transactions, financings, and general business matters. She supports clients throughout the transaction lifecycle, including conducting and analyzing legal due diligence, preparing diligence memoranda and issue summaries, drafting transaction documents, and coordinating closing logistics for stock and asset purchase transactions.

Mashhura also assists with entity formation and corporate governance matters for LLCs and corporations across multiple jurisdictions. She prepares operating agreements, bylaws, certificates, articles of incorporation and organization, and other governance documents.

In addition, Mashhura advises emerging growth companies in connection with venture financing transactions. She drafts SAFE financing documents and related corporate records, including amended and restated certificates of incorporation, stock option plans, stock award agreements, and corporate resolutions. She also prepares corporate restructuring documentation under Sections 351 and 721 of the Internal Revenue Code.
