Special Situations
Edward represents companies, sponsors, lenders, and fiduciaries in high-stakes transactions and financings; as well as special situations involving financial distress, regulatory complexity, or operational disruption. Edward is frequently brought in where fiduciary duties, governance tensions, or regulatory scrutiny intersect with complex financial issues. Edward has worked across industries — including highly regulated sectors — and has experience protecting sponsor and board interests where they diverge from company management.
Edward advises debtors, secured and unsecured lenders, and official committees of unsecured creditors (UCCs) in both in-court restructurings and out-of-court workouts. He regularly leads clients through critical matters including distressed M&A, receiverships, Section 363 sales, forbearance arrangements, debtor in possession financings, and Chapter 11 proceedings. His ability to coordinate stakeholders, manage liability exposure, and preserve enterprise value makes him a go-to advisor when stability and speed are essential.
Regulatory & Transactional
Over the past 30 plus years, Edward has structured, negotiated, and closed tens of billions of dollars of transactions and financings. Edward is widely recognized for his regulatory depth and transactional fluency. He counsels clients on matters involving transactions, financings, regulatory approvals, government relations, and governmental funding. Edward operates across industries — including health care, manufacturing, energy, and real estate — delivering practical, business-focused solutions.
Edward has represented health care lenders, hospitals and health systems, academic medical centers, long-term care facilities, assisted living facilities, medical groups, surgery centers, dialysis centers, imaging centers, and multi-entity health care delivery systems. Edward has handled a variety of health care matters in the state, federal, bankruptcy, and administrative courts, boards, and agencies for a variety of health care, financial services, and technology clients.
Prior to joining Foley, Edward served as a law clerk to the Honorable Michael J. Melloy, Chief United States District Court Judge for the Northern District of Iowa (now of the United States Court of Appeals for the Eighth Circuit) from 1992 to 1994 and was an associate at an international law firm headquartered in Chicago, IL.

He was named a Leading Lawyer by The Ambulatory M&A Advisor on the Top Healthcare Transaction Lawyers of 2014 list.
