Edwin D. Mason

Edwin D. Mason is a partner and business lawyer with Foley & Lardner LLP. He has over 30 years of experience representing clients in complex business transactions. Mr. Mason’s practice is focused primarily in the areas of mergers and acquisitions, corporate governance matters, and general corporate and business law-counseling. He is a member of the firm's Transactional & Securities Practice and the Food & Beverage Industry Team.

While representing clients across a broad range of industries throughout his career, Mr. Mason has focused his transactional practice in the financial services, technology, food and manufacturing industries. Within the financial services industry, he has extensive experience in acquisitions and sales of broker-dealers, insurance companies, and investment management firms.

Mr. Mason’s clients include several Fortune 500 companies, as well as privately owned businesses and entrepreneurs. He also represents non-U.S. based clients in connection with their U.S. transactions.

Mr. Mason is a member of the Chicago Bar Association, the State Bar of Illinois, and the American Bar Association.


Mr. Mason received his J.D., cum laude, from the University of Michigan Law School in 1980 and earned his B.S., summa cum laude, at the University of Illinois in 1977.

Community Engagement

He has practiced in Chicago since 1980 and is involved in a number of charitable organizations. He currently serves on the board of directors of Cabrini Green Legal Aid.

Representation of food manufacturer in connection with food regulatory aspects of ongoing acquisition of food production facilities and food ingredients operations.
Assisted Wing Capital Group, LLC, a Milwaukee-based private equity firm, in structuring the acquisition by Sani-Matic Holdings, LLC of all of the outstanding stock of Sani-Matic Systems Holdings, Inc., a Wisconsin-based corporation that owns all of the outstanding stock of Sani-Matic, Inc. Sani-Matic, Inc. specifies, designs, and manufactures sanitary process cleaning equipment including Clean-in-Place (CIP) Systems, Clean-Out of-Place (COP) Immersion Parts Washers, Automated Product Carrier Washers (Vat, Tunnel, Rack, Stick), Cabinet Washers, and related components. Consideration for the transaction involved a combination of cash and rollover equity. Foley also assisted the sellers (with buyer as guarantor) in securing traditional senior debt financing to facilitate the stock purchase, successfully negotiating all financing documents. In addition to negotiating and drafting the purchase agreement, Foley attorneys negotiated and drafted employment agreements and incentive unit agreements with key seller employees to ensure the acquired business assets would continue to be effectively managed following closing. The deal marks Foley's first representation of Wing Capital Group in an acquisition. Foley successfully completed the acquisition and financing documents within a 21-day timeframe in order to meet the parties' year-end closing goal.
Represented the Charles Schwab Corporation (NYSE: SCHW) in its acquisition of ThomasPartners, Inc., a dividend income-focused asset management firm based in Wellesley, Massachusetts, for an upfront payment of $85 million and the opportunity for post-closing payments contingent on future growth in assets under management.
