The NDI Web Conference Trends in the Recruitment and Selection of Directors focused on the issues and challenges associated with recruiting qualified candidates for membership on a corporation’s board of directors. Among the issues discussed were the implications of any modified SEC independence requirements for committee members, potential enhanced disclosure requirements of the skills, qualifications and experiences of incumbent directors and nominees, and the composition of proposed new risk management committees. The processes typically followed in recruiting a new director, particularly in light of the SEC’s proposed rule changes, including the obstacles and impediments frequently faced by corporations in the recruiting process, including diversity concerns and compensation matters also were addressed. In addition, the panel considered the Board evaluation process and its impact on Board composition and committee membership.
