In this program, a panel of attorneys and accomplished corporate officers will provide insight into the duties of a corporate secretary and how those duties can be performed in a way that improves corporate governance and helps protect a corporation against the damage of internal affairs litigation. The panel will discuss the value of a proactive corporate secretary, provide advice on how to solve common problems a corporate secretary may encounter, and identify treacherous pitfalls a corporate secretary should avoid.
Specific topics to be addressed will include:
- Proper incorporation and qualification of a company and its subsidiaries
- Effective and accurate documentation of corporate action
- Proactive attention to matters that affect director and officer liability
- Appropriate strategies for dealing with nominees and beneficial owners
- Smart use of technology for corporate secretaries
