Foley Expands Transactional & Securities Practice With Addition of Tracy Bacigalupo
Foley announced today that Tracy A. Bacigalupo has joined the firm’s Transactional & Securities Practice as a partner in the Washington, D.C. office. Previously, Bacigalupo was a partner at DLA Piper.
Bacigalupo has more than 20 years of experience counseling companies on a wide variety of corporate matters. She concentrates her practice in the areas of mergers and acquisitions, venture capital transactions, intellectual property law and general corporate and real estate investment trust law. She regularly counsels public and private entities organized under Maryland law, including corporate and trust REITs and investment companies located across the country, on general corporate and governance issues that arise in connection with securities offerings and all other transactions.
“As we continue to expand the breadth and depth of our Transactional & Securities Practice, Tracy’s addition will be instrumental in further strengthening the broad range of sophisticated legal services provided to public and private companies,” said Jay O. Rothman, chairman and CEO of Foley. “We look forward to the many contributions she will bring to clients alongside our team of highly-regarded corporate attorneys in Washington, D.C., New York and all of Foley’s other offices.”
“Tracy is a very well-respected corporate attorney and we are thrilled to welcome her to our team,” said Scott L. Fredericksen, managing partner of Foley’s Washington, D.C. office. “As M&A activity continues to rebound, Tracy’s wide-ranging experience counseling companies on transactional matters will be an immediate asset to our clients.”
Bacigalupo has extensive experience representing companies in issues related to duties of directors and trustees, takeover defenses, interested director transactions, board and shareholder meetings, functions of board committees and charter and bylaw provisions. She also advises clients on matters related to intellectual property development, protection and enforcement strategies, as well as software development and licensing arrangements.
“Tracy’s unique combination of experience counseling clients on transactional, corporate governance and intellectual property matters will add tremendous value for our clients as we continue to help them navigate the changing deal environment,” said David Sanders, co-chair of Foley’s Transactional & Securities Practice.
