Foley & Lardner LLP partners Louis Lehot and Patrick Daugherty authored the Westlaw Today article, “How to Make IPOs Great Again,” analyzing SEC public market reform proposals.
“In May, the SEC made its most ambitious proposals in a generation to bring companies back to the public markets.” The authors add, “we endorse it, but more is needed.”
The authors discuss the SEC’s recent efforts to revive public markets by lowering the costs and burdens of going public, while highlighting additional reforms that could help address structural barriers — such as restrictive communication rules, limited research coverage, and litigation risks — which continue to discourage IPOs.
“Companies, boards, and investors that want a deeper, more open, public market should say so before the comment windows close this summer,” the authors conclude.
