Rob Linnoila represents a variety of private fund sponsors through the entire life cycle of their investment vehicles. Such sponsors range from large, diversified asset managers to emerging managers which include both exempt reporting advisers and registered investment advisers. His practice focuses on assisting such sponsors in fund formations and investments along with counselling on regulatory, compliance, structuring, and day-to-day operations.
Rob also regularly advises institutional secondary clients and private fund sponsors on a diverse range of primary and secondary transactions, including LP-led and GP-led liquidity transactions, investments into funds, fund restructurings and co-investments. In addition, Rob counsels individuals in “spin outs,” separation, and he is a member of the firm’s Fund Formation & Investment Management Practice.

- Led a team that represented a large corporate retirement plan in the secondary sale of $1.2b in private equity and venture capital fund interests.
- Represented a Silicon Valley based VC sponsor in the formation of its fourth fund.
- Represented a VC defense tech sponsor in the formation of its inaugural fund.
- Represented Riverside Partners in the closing of a new $532m continuation fund.*
- Represented Sverica Capital Management, a leading growth-oriented middle market private equity firm, in the formation of its $750m sixth private equity fund.*
