Emily Spallino is a corporate lawyer with Foley & Lardner LLP, based in the New York office. Emily contributes to the closing of large transactions and helping high-net-worth clients navigate all types of business transactions. She is a member of the firm’s Business Law and Mergers & Acquisitions Practices and the Energy Sector. Her client work focuses on renewable energy project development, energy mergers & acquisitions, and corporate governance matters.

Prior to joining Foley, Emily worked as an attorney at a global law firm in Minneapolis and served as a summer fellow for The Honorable Donovan W. Frank, U.S. District Court in Saint Paul, Minnesota.

 

Representative Experience*

Mergers & Acquisitions

  • Representation of a publicly traded renewable power company in the acquisition of a high-quality, unlevered distributed generation platform with up to ~320 megawatts of capacity in the U.S. from an energy infrastructure company for US$720m.
  • Representation of major cellular company in its sale of a majority stake to a private equity firm for US$2.3bn.
  • Representation of a process automation corporation serving clients in the energy, life sciences, and water industries in the sale of its stock to a private equity firm.
  • Representation of the controlling owner in the sale of ownership interests in a major national beef processing company to a foreign publicly traded company.
  • Representation of a global aircraft engine manufacturer in the acquisition of several U.S. and international manufacturing companies.
  • Representation of a publicly traded company in its acquisition of certain assets of a lumber manufacturer.

General Corporate

  • Representation of companies in formation matters, stock and equity issuances, corporate governance, and drafting of buy-sell and third-party agreements.
  • Representation of several buy and sell side parties to M&A transactions in connection with filing of pre-merger notifications to the Federal Trade Commission and Department of Justice pursuant to the Hart-Scott-Rodino Antitrust Improvements Act, obtaining antitrust clearance for the transactions.
  • Representation of Minnesota cannabis companies in negotiating grower contracts.
  • Representation of charitable organizations in applying to the Internal Revenue Service for 501(c)(3) tax- exempt status.
