Associate

Matt Gullickson is an associate in Foley’s Finance Practice Group and a member of the firm’s Energy Sector. His practice focuses on renewable energy and energy transition transactions, including construction and term loan financings, portfolio facilities, tax equity structures, and tax credit transfer transactions.

Matt supports lender, sponsor, and investor clients across a range of solar and energy storage matters, with experience on distributed generation and multi-state portfolios. He regularly assists with due diligence, document and exhibit drafting, closing and funding logistics, and coordination among internal specialists and deal parties to keep transactions moving on demanding timelines. Prior to joining Foley, Matt was a summer associate at a Chicago law firm and, during law school, served as a research assistant focused on the U.S. incarceration system and a Student Attorney in the Frank J. Remington Center, where he helped incarcerated individuals seek sentence reductions.

Representative Experience

  • Served as borrower’s counsel for Bridge Renewable Energy in a portfolio financing to support the construction of a 40 MW distributed energy solar and battery storage portfolio.
  • Served as legal counsel to OCI Energy in the successful closing of construction to term financing for Project Alamo City.
  • Represented Deutsche Bank in connection with an approximately $200M debt facility for a solar portfolio.
  • Served as legal counsel to a leading U.S. lender in connection with an approximately $800M portfolio loan facility supporting commercial and industrial energy assets.
  • Served as sponsor counsel for an approximately $75M preferred equity investment in a portfolio of distributed energy solar and battery storage projects.
  • Represented a sponsor with the tax equity and debt financings of a portfolio of eleven solar projects in Colorado and Minnesota.
  • Represented a major U.S. commercial bank, as lead debt syndicator, in connection with a sponsor’s approximately $360M construction and term financing spanning 28 community solar projects across six states.
  • Represented a tax equity investor in connection with an approximately $70M tax equity partnership flip financing for the solar and battery project in Arizona.
  • Served as legal counsel to leading U.S. regional lender in connection with the construction and term loan financing (and upsize) for a cold storage project in Georgia.
  • Represented California based sponsor in connection with financings to secure interconnection deposit funding and additional credit.
  • Represented a sponsor in connection with debt, tax equity, and equipment loan financings for a distributed energy solar portfolio.
  • Served as legal counsel to a New York based solar sponsor in connection with a portfolio financing that included a tax credit transfer component.
  • Acted as lender’s counsel in connection with a sale-leaseback financing for solar and battery projects in New Jersey and Connecticut.
  • Represented New York based Sponsor in connection with multiple debt financings and tax credit transfer transactions of various solar and battery projects in the Southwest.
  • Represented California based Sponsor in connection with a portfolio acquisition under a membership interest purchase agreement to acquire solar projects in Illinois.
  • Advised a seller in connection with a tax credit sale for a Michigan biogas facility.
