Maximilian R. Schmidt advises private equity firms, asset managers, and other investment sponsors on the formation, fundraising, and ongoing operation of private investment funds. His experience spans a variety of fund structures, including private equity, real estate, open-ended, evergreen, co-investment, and continuation vehicles.
Max regularly drafts, reviews, and revises a wide range of fund-related documents, including private placement memoranda, limited partner agreements, subscription documents, side letters, assignment agreements, board resolutions, and limited liability company agreements. He also assists clients with fund closings, investor onboarding, diligence materials, and post-closing operational matters.

- Represented a global investment firm in connection with the formation and ongoing operational matters of an evergreen fund and co-investment targeting North American telecommunications and infrastructure.*
- Represented a middle-market private equity firm on the formation of a closed end fund as well as a co-investment focused in Europe and North America.*
- Advised an international investment firm in the formation of multiple Continuation Vehicles for prior funds.*
- Represented several global asset management companies as General Partners in connection with secondary transfer transactions; lead drafting and negotiation responsibility of all NDAs, DDQs, and transfer agreements.*
- Advised an international private equity firm on ongoing matters including forming SLPs & SPVs; drafting board resolutions, amending and restating GP LPAs/LLCAs, drafting and revising of guaranty agreements, and drafting of 83(b) and S431 forms.*
