Brad Drake advises insurers, reinsurers, asset managers, private capital sponsors, and other market participants on sophisticated insurance and reinsurance transactions. His practice spans insurance company and block acquisitions, company formations, insurance-linked transactions, securities offerings, premium finance transactions, and life settlement transactions.

Brad is particularly experienced in alternative risk transfer transactions, embedded value and closed-block securitizations, sidecars, pension risk transfers, regulatory reserve financings, and other structured financial products and financings. His work also includes matters involving private equity and alternative asset management platforms, middle market direct investors, and family offices.

Representative Experience

  • Represented Resolution Life in a strategic transaction with Farmers New World Life Insurance Company involving the cession of Farmers New World Life’s in-force individual life business to Resolution Life subsidiary Security Life of Denver, a flow reinsurance treaty covering the current range of individual life products, and retrocession to Swiss Re of all reinsured term life liabilities.*
  • Represented RGA in an embedded value-linked offering by its subsidiary Chesterfield Re of $500m in surplus notes.*
  • Represented Kuvare Holdings in the acquisition of a block of in-force annuities issued by a large, highly rated multinational carrier from its Hong Kong platform, and two forward-flow reinsurance arrangements, each with a separate highly rated Japanese life insurer.*
  • Represented Kuvare Holdings in the launch of Kindley Re, a $400m life and annuity reinsurance sidecar formed in partnership with Davidson Kempner Capital Management and Kuvare and its affiliates.*
  • Represented Prudential Financial, Inc. in the sale of a $31bn portion of its in-force legacy variable annuity block for $2.2bn to Fortitude Re.*
  • Represented Global Atlantic in the reinsurance from Unum Group of a closed block of individual disability income businesses backed by $8.5bn in assets.*
  • Represented Athene Holding and Apollo Global Management in the formation and capitalization of Athene Co-Invest Reinsurance Affiliate 1A, Ltd. (ACRA), a long-duration, on-demand capital vehicle funded by Athene and certain investment funds managed by Apollo.*
  • Represented Western & Southern Financial Group in multiple offerings of surplus notes totaling $1bn.*
  • Represented Venerable in its acquisition of Corporate Solutions Life Re from Equitable Holdings, and the reinsurance of approximately $26bn of reserves from Equitable Financial Life Insurance Company.*
  • Represented The Hartford in the sale of its life insurance and annuity businesses for $2.05bn to an investor group that included Global Atlantic, Cornell Capital, TRB Advisors, Pine Brook, and J. Safra Group.*
  • Represented Kuvare Holdings in the acquisition, through its subsidiary Guaranty Income Life Insurance Company, of Lincoln Benefit Life Company, making Kuvare an insurance conglomerate with assets exceeding $13bn.*
  • Represented Argo Group in the offering of $150m in preferred shares.*
  • Represented the controlling noteholder in the restructuring of Ballantyne Re plc, implemented by a noteholder scheme of arrangement in Ireland.*
  • Represented RGA in its acquisition of a block of individual payout annuities from John Hancock representing reserves of approximately $3bn.*
  • Represented Aquiline Capital in the acquisition of Armour Group and related $500m equity financing.*
  • Represented Hartford Financial Services in the sale of its retirement plans business to MassMutual.*
  • Represented Athene in its $1.55bn acquisition of Aviva plc’s U.S. life insurance business.*
  • Represented multiple risk takers, including JPMorgan, Credit Suisse, Nomura, BNP Paribas, Assured Guaranty, RGA, and Swiss Re, in more than $15bn of reserve financing transactions for insurers.*
  • Represented RGA and Chesterfield Financial Holdings LLC in the offering of $300m in embedded value-linked notes.*
  • Represented MassMutual in multiple offerings of surplus notes of more than $1.5bn.*
  • Represented Athene in its formation and arrangements for $400m committed private equity investment.*
  • Represented stable value funds, collective trust funds, investment managers, and wrap providers in connection with the negotiation and administration of stable value wrap contracts.*
