Foley & Lardner LLP attorneys advised Lindblad Expeditions, a global leader in expedition cruising and adventure travel experiences, in its merger with Capitol Acquisition Corp. II. Structured as a reverse initial public offering, the business combination is valued at approximately $439 million and will be renamed Lindblad Expeditions Holdings, Inc. Twenty Foley lawyers have been involved in the complex transaction, led by Steve Chameides and Teri Champ, with subject matter expertise led by Paul Broude (SEC), Jamshed Patel (Tax), Leigh Riley (Benefits), Alan Rutenberg (HSR/Antitrust) and Norm Rich (Trademarks). The transaction is scheduled to close in May, subject to regulatory and other approvals.
