Paul A. Stewart

Retired Partner

Paul A. Stewart was a business law partner with Foley & Lardner LLP, where he provided counsel on corporate and securities matters, including general business advice, mergers and acquisitions, corporate governance, financing, licensing, and securities compliance. He also advised clients on real estate development, acquisitions, dispositions, financing, and leasing. Paul served as the managing partner of the firm’s Palo Alto office, as well as the former California chair of Foley & Lardner LLP’s Business Law Department and the former chair of the Health Care Business Counseling and Technology Practice.

Paul’s corporate clients included publicly traded and closely held businesses operating across various sectors, including health care, pharmaceuticals, technology, manufacturing, sales, and investment. He represented clients in the formation of new business entities, capital and fund formation, mergers and consolidations, the sale and acquisition of stock and assets, corporate governance matters, and liquidation and dissolution. Paul also had extensive experience in real estate analysis, acquisition, development, construction, management, leasing, and finance, and assisted clients with the related formation of partnerships, joint ventures, and syndications.

 

Representative Experience

  • Represented parties in Mergers and Acquisitions Transactions Totaling Over $2,500,000,000 in Value.
  • Represented numerous sponsors of private securities placements in non-start-up company contexts, including a $100,000,000 private placement in 2012.
  • Represented numerous start-up companies with respect to organization and common stock and preferred stock financings.
  • Served as outside general counsel for all California operations of Cambridge Antibody Technologies, a U.K. based public biotechnology company including licensing, manufacturing and clinical trials operations.
  • Served as outside general counsel of the largest non-Kaiser physician organization in California.
