Louis Lehot Authors Article on Year-End Planning for Founders and Boards
Foley & Lardner LLP partner Louis Lehot authored the Insights: The Corporate & Securities Law Advisor article, “Five Moves Founders and Boards Should Make Before 2026 Ends,” offering guidance for companies navigating tax, governance, AI, capital raising, and M&A considerations as they prepare for 2027.
Lehot emphasizes that “the second half of 2026 will reward companies that use the pause well. The market is selective, the initial public offering (IPO) window is open but demanding, and several legal changes now carry real money for founders who plan ahead.”
He identifies five key areas for founders and boards to address: understanding updated Qualified Small Business Stock rules, IPO readiness, implementing AI governance, preparing for M&A activities, and maintaining organized cap table management.
“The best outcomes I see come from companies that prepared for inbound interest before it arrived: a current data room, clean cap table records, employment and IP files in order, and a board that has already discussed what an acceptable offer looks like,” Lehot shares.
