Grace Fucci is a corporate attorney, advising clients ranging from multinational corporations to startups on a broad range of business matters, with an emphasis on mergers, acquisitions, and private equity investments. She is an associate in the firm’s Transactions Practice and a member of the Innovative Technology Sector and the Fashion, Apparel, and Beauty Industry Team.
Working with clients in a variety of industries, Grace provides guidance on formation matters, day-to-day corporate work, venture capital financings, and complex mergers and acquisitions. Grace’s practice includes advising private equity funds and closely held or family-owned businesses through sale events, where she learns the ins and outs of her clients’ businesses and what matters most to them. As a result, Grace’s clients often view her as not just outside counsel, but as an indispensable extension of their team.
Grace makes pro bono work a cornerstone of her practice and regularly advises founders and mission-driven pro bono clients on corporate matters. Outside of her work at the firm, Grace serves on the Advisory Council of Zoo New England, a private, non-profit, 501(c)(3) organization dedicated to wildlife and conservation programs, research, and education.
Grace began her career with Foley as a summer associate in 2021. While in law school, she served as a judicial intern for the Honorable Esther Salas in the United States District Court for the District of New Jersey, and for the Honorable M. Hannah Lauck in the Eastern District of Virginia. Grace also researched and drafted appellate briefs on numerous constitutional issues as a student advocate for the Appellate & Supreme Court Clinic.

- Represented Ora, Inc., a leading global full-service ophthalmic drug and device development firm, in its recapitalization by The Vistria Group, which earned an honorable mention in Mergers & Acquisitions’ 2025 Middle-Market Deals of the Year.
- Represented Steven Madden, Ltd., a leading designer and marketer of fashion footwear, accessories and apparel (NASDAQ: SHOO), in various investments and acquisitions, including its acquisition of UK-based Kurt Geiger from a group led by international private equity firm Cinven for an enterprise value of approximately $360 million in cash.
- Represented Utilidata, a leader in edge AI technology, in a $60.3 million Series C financing led by Renown Capital Partners, with investments from NVIDIA, Quanta, and Keyframe Capital.
- Represented Devolver Digital Inc., an award-winning digital publisher and developer of video games, in the acquisition of System Era Softworks Inc.
- Represented Torc Robotics, a self-driving vehicle technology company and an independent subsidiary of Daimler Truck AG, in its acquisition of Algolux Inc.
- Represented Audax Group and its portfolio companies Beacon Mobility and DISA Global Solutions, each in various add-on and strategic acquisitions.
- Represented ControlByWeb, a premier designer and manufacturer of Industrial Internet of Things (IIoT) control products, in its acquisition by North Branch Capital.
