Foley Represents Walker Texas Holding Co. in Acquisition by Comfort Systems USA

Foley partners Michael Newman and Robert Sarfatis represented Walker TX Holding Co. and its subsidiaries in a definitive agreement to be acquired by Comfort Systems USA.
Newman, the Dallas office managing partner, and Sarfatis represented Walker, a family-owned, Irving, Texas-based company that provides commercial electrical related services, in the transaction, which is expected to close early in the second quarter of 2019 pending closing conditions.
Houston-based Comfort Systems USA is a leading provider of mechanical services, including heating, ventilation, air conditioning, plumbing, piping, and controls in 114 U.S. cities.
Walker is expected to add annualized revenue of approximately $325 million to $375 million, and earnings before interest, taxes, depreciation and amortization of $20 million to $25 million to Comfort Systems’ balance sheet.
