Overview

Gabor Garai is a partner and business lawyer at Foley & Lardner LLP. He is chair of the firm’s Private Equity & Venture Capital Practice and co-chair of the Life Sciences Team.

Mr. Garai counsels emerging life science companies, including biotech, medical device, pharmaceutical and medical service businesses. Mr. Garai’s private equity and venture capital practice encompasses all legal and business aspects of structuring, financing and managing various types of investment funds; negotiating mergers, acquisitions and dispositions of portfolio companies; structuring investments in emerging companies; and participating in strategic decisions of funds and fund-owned companies.

Mr. Garai addresses the strategic issues facing his clients through a combination of practical, business-oriented solutions and highly sophisticated financing techniques. He builds coherent, interdisciplinary teams to apply Foley’s nationwide "best-of-breed" talents to his clients’ diverse needs.

Mr. Garai lectures and writes frequently to business-people and professionals on venture capital, private equity and mergers and acquisitions. In 2013 and 2014, Mr. Garai was selected to sit on the Law360 Private Equity Editorial Advisory Board. He recently co-edited "Buying and Selling a Privately Owned Business in Massachusetts" and "Middle Market Mergers and Acquisitions," both published by MCLE.

Education

Mr. Garai graduated with a J.D. from Harvard Law School in 1976, and earned a B.A. from Harvard College in 1973.

Recognition and Awards

Mr. Garai has been Peer Review Rated as AV® Preeminent™, the highest performance rating in Martindale-Hubbell's peer review rating system. In 2010 and 2012 - 2016, The Legal 500 recognized him for mergers & acquisitions and again for his work in health care – life sciences in 2013 - 2016. He was selected for inclusion in the 2004 - 2016 Massachusetts Super Lawyers® lists and has also been selected by his peers for inclusion in The Best Lawyers in America© since 2007 in the fields of mergers and acquisitions and corporate law.

Mr. Garai is the Hungarian Consul General for New England and founder of the Hungarian-American Chamber of Commerce of New England. He received the Hungarian Civilian Cross, the highest recognition to non-residents awarded by the Hungarian president. During his work as Honorary Consul, Mr. Garai was awarded the Hungarian Order of Merit in 2005 and an award pro auxilio cirium Hungarum in 2007 to recognize his efforts for the protection of Hungarian citizens. In 2013, he was selected as honorary commercial attaché for Hungary. In 2014, Mr. Garai was awarded the AmCham Hungary's Dr. Iván Völgyes Award, which recognizes individuals for encouraging and facilitating Hungarian-American business partnerships and cultural and academic alliances.

Acted as sole counsel to eZuce, Inc. on all legal issues. Foley initially advised the company with respect to its incorporation, capitalization, and initial fundraising, which fundraising was done through the use of convertible promissory notes. We drafted the notes and advised the company with respect to all aspects of their fundraising activity. The initial fundraising closed when the Turkish company Karel Elektronik Sanayi ve Ticaret A.S. made a $1 million investment. The closing involved the sale of convertible promissory notes, common stock, and the negotiation of a term sheet for a future OEM agreement with Karel, covering the sale of eZuce products in Europe and Asia. Since the closing of the initial fundraising, have also advised the company with respect to its commercial agreements, reseller agreements, and OEM agreements. Foley also advises eZuce on all intellectual property matters in the United States and internationally.
