Foley Represents ORS Nasco in Acquisition of Techniweld & PowerWeld and Three Essendant Brands
Foley & Lardner LLP served as legal advisor to ORS Nasco, a wholesaler of industrial maintenance, repair, and operations products and a portfolio company of Wynnchurch Capital, in its acquisitions of Techniweld & PowerWeld and the Boardwalk, GEN, and Windsoft proprietary brands from Essendant, a portfolio company of Sycamore Partners.
Techniweld is a Canadian wholesaler of welding products that also operates in the United States under the PowerWeld brand. Boardwalk offers janitorial and sanitation, industrial, and foodservice products; GEN provides value-oriented products for high-volume facilities; and Windsoft focuses on towel and tissue products. Together, the brand acquisitions expand ORS Nasco’s North American welding platform and ORS Nasco’s offerings across janitorial and sanitation, paper, and foodservice categories.
ORS Nasco was previously owned by Essendant before being carved out in 2019, giving the acquisition a notable connection to the company’s history while representing another corporate carve-out for ORS Nasco and Wynnchurch.
The Foley deal team for each of these transactions was led by partners Gjina Lucaj and Omar Lucia along with senior counsel Jake Gordon and associates Ryan McNulty and Carmen Rida.
